Terms of Service

1. Acceptance of Terms

By creating an account, subscribing to any plan, or otherwise accessing TradeAlert (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and TradeAlert LLC, an Arizona limited liability company (“TradeAlert,” “we,” “our,” or “us”). We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

TradeAlert is an automated trading alert service. We monitor configured ticker symbols and deliver signals — indicating a potential buy or sell condition has been detected — via Discord, SMS, and/or email. TradeAlert is an informational delivery service only. We do not execute trades, manage funds, or provide personalized investment advice. All trading decisions are made solely by you.

Please read our Risk Disclosure in full before subscribing. It is incorporated into these Terms by reference.

3. Eligibility

You must be at least 18 years old to use TradeAlert. By subscribing, you represent that you are of legal age and have the legal capacity to enter into this agreement. The Service is intended for use in jurisdictions where receiving automated trading signals is lawful. You are solely responsible for determining whether your use of the Service complies with the laws of your jurisdiction.

4. Account Registration

You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@tradealerthq.com if you suspect unauthorized access.

One account per person. You may not share your account, credentials, or Discord access with others.

5. Subscription Plans and Billing

TradeAlert offers three subscription tiers billed monthly:

• Starter — $29/month. Up to 5 tracked tickers.
• Pro — $59/month. Up to 20 tracked tickers.
• Elite — $149/month. Up to 100 tracked tickers.

Billing is handled by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. Prices are in USD and are subject to change with at least 30 days’ notice.

Free trial. New Pro subscribers receive a 45-day free trial. Trials are available once per account. If a trial was previously used on any account associated with your payment method, future subscriptions will not include a trial. Your payment method will be charged at the end of the trial period unless you cancel before the trial expires.

Plan changes. You may upgrade or downgrade your plan at any time. Plan changes take effect at the start of your next billing period. Upgrading grants immediate access to additional ticker slots; the price difference is not prorated for the current period. Downgrades that reduce your ticker limit will trim your active tickers to the new limit at the next billing cycle.

6. Cancellation and Access

You may cancel your subscription at any time via your account dashboard or by contacting support. Cancellation takes effect at the end of your current paid billing period. You will retain access to the Service, including Discord channels and alerts, through the end of the period you have paid for. We do not provide prorated refunds for unused time.

7. Discord Integration

Alert delivery via Discord requires you to join the TradeAlert Discord server and verify your account. Discord invite links generated by TradeAlert are time-limited and single-use. You may not share invite links or Discord access with others.

Discord is a third-party platform operated by Discord Inc. TradeAlert is not responsible for Discord outages, policy changes, or any unavailability of the Discord platform. If your Discord account is banned or you leave the server, alert delivery via Discord will cease until you re-link your account.

Community conduct and user content. The TradeAlert Discord server may include community spaces where members post messages, opinions, and discussion. Content posted by other members is user-generated and does not represent the views of, and is not endorsed, verified, or controlled by, TradeAlert. Other members are not TradeAlert employees, agents, or investment advisers, and their statements are not financial advice. You are responsible for your own conduct and content in community spaces; you agree not to post unlawful, abusive, harassing, or misleading content, and not to hold yourself out as providing investment advice. TradeAlert is not liable for any statement, opinion, recommendation, or information shared by another member, and may moderate or remove content, restrict access, or remove members at its sole discretion.

8. Ticker Symbols and Alert Delivery

You may configure up to the number of ticker symbols permitted by your plan. Ticker changes are subject to a monthly swap allowance (Starter: 2 swaps/month; Pro: 8 swaps/month; Elite: 35 swaps/month). Removals are always free and do not consume a swap. Swap allowances reset on your monthly billing anniversary.

Alerts are delivered on a best-effort basis. We do not guarantee delivery, timeliness, or accuracy of any alert. Technology failures, third-party outages, or market conditions may delay or prevent delivery. See our Risk Disclosure for a full description of technology and signal risks.

9. Signals Are Not Financial Advice

Alerts and signals delivered by TradeAlert are not financial advice, investment recommendations, or personalized guidance. TradeAlert LLC is not registered as an investment adviser with the SEC or any state regulator, and is not registered with the CFTC or NFA. Nothing we deliver constitutes a recommendation to buy, sell, or hold any security or other financial instrument.

You are solely responsible for all trading decisions and their consequences. Always conduct your own research before acting on any signal. This applies equally to any discussion, opinion, setup, or trade idea shared by other members in our community spaces — peer commentary is not financial advice and is not endorsed by TradeAlert.

10. Prohibited Conduct

You agree not to:

• Share, resell, or redistribute alerts, signals, or Discord access
• Use automated tools to scrape or bulk-collect alert data
• Reverse-engineer, copy, or replicate our signal methodology
• Use the Service for any unlawful purpose or in violation of applicable securities laws
• Attempt to circumvent any technical measure or access control
• Create multiple accounts to obtain additional free trials

Violation of these restrictions may result in immediate account termination without refund.

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, abuse of the Service, fraudulent activity, or any other reason at our sole discretion. Upon termination, your access to the Service and Discord channels will be revoked. We will not be liable to you for any termination of your account.

You may delete your account at any time from your account settings. Deletion cancels your subscription immediately (no prorated refund), removes your data from our systems, and revokes your Discord access.

12. Intellectual Property

All content, signal methodology, software, and materials on the TradeAlert platform are the property of TradeAlert LLC or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes during your subscription. No other rights are granted.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEALERT LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEALERT LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOST PROFITS, OR DAMAGES ARISING FROM RELIANCE ON ANY ALERT OR SIGNAL.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TRADEALERT IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless TradeAlert LLC and its owners, officers, employees, and affiliates from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law provisions.

Informal resolution first. Before initiating any formal legal proceeding, you agree to contact us at support@tradealerthq.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

Venue. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally shall be brought exclusively in the state or federal courts located in Arizona, and you consent to personal jurisdiction and venue in those courts. Notwithstanding the foregoing, either party may bring an individual claim in a small-claims court of competent jurisdiction.

Class action and jury-trial waiver. To the maximum extent permitted by applicable law, you and TradeAlert agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and TradeAlert each waive any right to a trial by jury. If this class-action waiver is found unenforceable as to a particular claim, that claim — and only that claim — shall be severed and may proceed in court, while the remainder of this section remains in full force and effect.

17. Miscellaneous

Entire agreement. These Terms, together with the Risk Disclosure and Refund Policy, constitute the entire agreement between you and TradeAlert regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
